KRANEW Terms of Use
These Terms of Use govern your access to and use of the KRANEW operating and financial platform, including all parent-organization hierarchies, sub-company directories, dispatch radar, workshop maintenance, and governed AI automation services.
Preamble & Agreement Overview
These Terms of Use between you (the "Customer") and KRANEW Technologies d/b/a KRANEW (the "Company" or "Kranew"), together with any ordering schedule, online subscription order, or Statement of Work executed by the parties (the "Order"), along with the Data Processing Agreement (the "DPA") and the Kranew Privacy Policy (https://kranew.com/privacy) (collectively, the "Agreement"), govern your use of the Kranew multi-company cloud platform, an AI-native operational and financial operating system engineered specifically for commercial transport, crane rental, heavy equipment hire, and workshop repair groups (the "Solution").
The Solution is predicated on the Authorization Principle and Parent-Child Isolation Architecture, whereby Customers configure distinct legal sub-companies, isolated trade licenses, separated VAT accounts, and strict role-based visibility boundaries across fleet branches, yards, and departments.
1. License to Use & Account Architecture
1.1 Creating an Account. To access the Solution, Customer must create an administrative parent account. Customer agrees to: (i) provide accurate legal trade license and business information; (ii) maintain the confidentiality of administrative and API credentials; (iii) remain responsible for all activity conducted under its parent and sub-company accounts; and (iv) promptly notify Kranew of any suspected security incident. Access is restricted strictly to authorized personnel, coordinators, operators, accountants, and contractors approved by Customer ("Authorized Users").
1.2 Scope of License. Subject to payment and compliance with this Agreement, Kranew grants Customer a limited, non-exclusive, non-transferable, revocable license during the Term to access and operate the Solution for internal fleet, logistics, maintenance, and accounting operations across the permitted sub-companies and asset volume specified in the Order.
1.3 License Restrictions. Customer shall not, and shall not permit any third party to: (a) reverse engineer, decompile, or extract the source code of the Solution; (b) rent, lease, resell, or distribute the Solution to external third parties outside Customer's corporate group; (c) circumvent or tamper with cryptographic sub-company tenant boundaries or security access rules; (d) transmit viruses, malicious bots, or unauthorized scraping scripts; or (e) use the Solution to build a competing software service.
1.4 Governed AI Features. The Solution incorporates role-governed artificial intelligence modules powered by the Model Context Protocol (MCP) to automate invoice drafting, customer Statement of Account (SOA) emails, rate card calculations, and asset P&L analysis ("AI Features"). AI Features operate strictly inside Customer's isolated data environment. Kranew does not, and does not permit third-party foundational model providers to, train underlying AI models on Customer Data. All AI-generated invoice drafts and emails require human approval prior to dispatch or ledger posting.
2. Fees, Sub-Company Subscriptions & Billing
2.1 Subscription Pricing. Customer shall pay the service fees set forth in the applicable Order (the "Fees"), calculated on the basis of active fleet assets (cranes, trucks, trailers, heavy machinery), registered sub-companies, Authorized Users, and module tiers.
2.2 Fleet & Entity Adjustments. When Customer registers additional sub-companies, machines, or depots beyond the initial Order threshold, Kranew will calculate additional charges on a pro-rata basis for the remaining period of the current billing cycle.
2.3 Payment Terms & Taxes. Unless specified otherwise in the Order, Fees are billed annually in advance and payable within 14 calendar days of invoice date via bank transfer / wire or approved corporate payment card. Prices are exclusive of Value Added Tax (VAT), sales taxes, or government duties. Customer is responsible for all applicable UAE VAT or local statutory taxes levied on software subscriptions.
3. Data Ownership & Intellectual Property
3.1 Customer Data Ownership. Customer has and retains sole and exclusive ownership of, and all intellectual property rights in and to, all fleet telemetry, vehicle inspection sheets, driver documents, customer rate cards, bank reconciliations, invoices, and financial ledgers uploaded or generated through the Solution ("Customer Data"). Kranew claims no intellectual property or commercial rights in Customer Data.
3.2 Kranew Property. Kranew retains all right, title, and interest in and to the Solution, including all user interfaces, dispatch scheduling algorithms, maintenance workflows, software code, documentation, trademarks, and feature enhancements.
3.3 Anonymized Aggregated Benchmarks. Kranew may compile anonymized, aggregated operational statistics (such as industry-wide fleet utilization rates or breakdown frequency indices) provided such data contains no identifiable customer, company, or individual information.
4. Operational Safety & Legal Disclaimers
4.1 Dispatch Safety Controls. The Solution provides automated dispatch safety locks, certificate expiration warnings, and maintenance interlocks to assist dispatchers in preventing assignments of defective or uncertified machines. Customer acknowledges that the Solution is an administrative and dispatch coordination tool; physical equipment roadworthiness, crane rigging safety, operator licensing, and third-party lifting compliance remain the sole legal and operational responsibility of Customer and its certified site supervisors.
4.2 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SOLUTION AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ERROR-FREE OPERATION.
5. Confidentiality & Commercial Secrets
Each party agrees to safeguard the other party's Confidential Information with the same degree of care it uses for its own confidential data (and in no event less than reasonable care). Confidential Information includes Customer's customer lists, machine profit margins, bank balances, driver wages, and LPO values. Neither party will disclose Confidential Information to third parties except to employees, auditors, and counsel under strict professional duties of confidentiality.
6. Limitation of Liability
6.1 Indirect Damages. NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT, LOSS OF REVENUE, SITE DELAYS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSSES.
6.2 Aggregate Liability Cap. EXCEPT FOR BREACHES OF CONFIDENTIALITY OR WILLFUL MISCONDUCT, THE MAXIMUM AGGREGATE LIABILITY OF EITHER PARTY UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO KRANEW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Term, Renewal & Governing Law
7.1 Subscription Term & Renewal. This Agreement commences on the Effective Date and continues for the period specified in the Order. It automatically renews for successive one-year periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the current term.
7.2 Governing Law & Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Dubai or the DIFC Courts.
